Your agreement for using yworq services and platform

Important: By accessing or using the Site and Services, you agree to this Agreement. If you do not agree, you may not use our Services.

Yworq, Inc., a Delaware corporation (the "Company," "we," "our," or "us") with headquarters at 1356 Beverly Rd Ste 250, McLean, Virginia, 22101, USA develops and operates this website and related services. The Company develops and operates programmatic application programming interfaces (API), hosted infrastructure, user interfaces, web-based software applications, agents and tools that enable users to run productivity tools to help with their daily jobs. The company uses widely used free open-source artificial intelligence models and provides necessary support and engineering to ensure high performance and smooth end user experience.

These Terms of Service (this "Agreement") govern your access to and use of the website located at yworq.com (the "Site") and any Services. The Company and you may enter into separate order forms, statements of work, or addenda that reference and incorporate this Agreement. By accessing or using the Site and Services, you agree to be legally bound by this Agreement as of the date you first access or use them (the "Effective Date"). We reserve the right to update or modify this Agreement from time to time.

1. Eligibility and Access to Site and Services

You must be at least 18 years old (or the age of majority in your jurisdiction) to use this site and our Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You may provide account credentials, contact details, billing information, and other materials in connection with your use of the Services. Our Privacy Policy explains how such information is collected and used.

You agree to:

  • Take reasonable steps to prevent unauthorized access to your account;
  • Promptly notify us of any known or suspected security incident;
  • Maintain all hardware, connectivity, and software necessary to access the Services.

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable right to access and use the Services during the applicable term. The Services may be enhanced, modified, or discontinued at any time. Except as expressly provided in an applicable order form, the Company does not guarantee uninterrupted availability, specific uptime, or error-free operation.

We may review and analyze usage data to ensure compliance with this Agreement, maintain system integrity, and improve performance and functionality.

2. User Obligations

By using the Site or Services, you represent that you meet the minimum age required under applicable law to enter into this Agreement. If you are under the age of majority in your jurisdiction, a parent or legal guardian must consent on your behalf.

Usage Rights and Intellectual Property

You acknowledge that the Services, including all related documentation, software, interfaces, and underlying technology, embody confidential information, trade secrets, and proprietary intellectual property owned by the Company or its licensors. Except as expressly permitted under these Terms, you will not directly or permit any third party to:

  • Adapt, reproduce, modify, translate, enhance, or create derivative works from the Services, Documentation, or any portion thereof;
  • Reverse engineer, decompile, disassemble, decode, or otherwise attempt to discover or reconstruct the source code, object code, architecture, or underlying structure of the Services;
  • Assert or seek to obtain any ownership or proprietary interest in the Services or Documentation;
  • Copy, scrape, frame, distribute, license, sell, assign, lease, rent, or otherwise commercialize the Services;
  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices displayed within the Services or Documentation;
  • Access or use the Services for purposes of developing, benchmarking, or supporting a competing product or service;
  • Employ automated tools such as bots, crawlers, data mining tools, or extraction mechanisms to collect data from the Services;
  • Provide access to the Services to any individual who is not an authorized user;
  • Develop or deploy scripts, connectors, or integrations that interact with the Services without prior written authorization;
  • Bypass, disable, or interfere with any authentication measures or security controls implemented by the Company;
  • Use the Services in a manner that could damage, disable, impair, or overload Company systems or infrastructure;
  • Resell, sublicense, transfer, or assign rights granted under these Terms, or operate the Services as part of a service bureau, outsourcing arrangement, or similar third-party offering;
  • Introduce malicious code, viruses, corrupted files, or harmful data into the Services; or
  • Systematically extract or aggregate content from the Services to create a database, directory, compilation, or similar resource.

Prohibited Conduct

You will use the Services solely for lawful and intended purposes. Without limitation, you will not use the Services to:

  • Infringe, misappropriate, or violate the intellectual property, privacy, or publicity rights of any person or entity;
  • Transmit or store defamatory, threatening, abusive, hateful, obscene, pornographic, or otherwise unlawful material;
  • Promote or facilitate exploitation, sexual abuse, human trafficking, bullying, or extreme violence;
  • Disrupt or interfere with the integrity, availability, or performance of the Services or other users' access thereto;
  • Attempt to gain unauthorized access to systems, data, or infrastructure associated with the Services;
  • Engage in impersonation, spam distribution, coordinated inauthentic behavior, or dissemination of false or misleading information;
  • Upload unsolicited promotional content or unauthorized commercial communications;
  • Employ the Services in connection with manipulative, deceptive, or subliminal techniques intended to materially distort an individual's behavior or decision-making;
  • Build or expand facial recognition databases without informed and explicit consent;
  • Conduct real-time biometric identification in public spaces for surveillance or law enforcement purposes;
  • Use the Services to score, classify, or evaluate individuals in a manner resulting in discriminatory or harmful treatment;
  • Infer or categorize sensitive personal characteristics, including race, political views, religion, health status, or sexual orientation;
  • Assess criminal risk based solely on profiling or personal attributes;
  • Generate or disseminate materially misleading or psychologically harmful content;
  • Use outputs derived from third-party materials for deepfakes, unlawful biometric analysis, or other illegal purposes;
  • Extract metadata or attempt to analyze model behavior to identify personal information or training sources; or
  • Generate content depicting real individuals, brands, or locations without obtaining all necessary rights and permissions.
  • Generate fake designs, work or educational references or copy documents such as passports, drivers licenses etc;
  • Generate fake images, edit or duplicate copyright content;
  • Generate Adult content including image, video or audio;
  • Generate any content that can encourage or promote violence.
  • Generate illegal content of any kind
  • Generate explicit sexual or pornographic material
  • Generate non-consensual or exploitative imagery
  • Generate content involving minors in sexual contexts
  • Generate violent or harmful imagery
  • Generate harassment or abusive content
  • Fraud, scams, or deceptive practices
  • Generate content that violates applicable laws or regulations

3. User Content and Outputs with Artificial Intelligence

You may submit prompts, data, text, images, or other materials to the Services ("User Content"). Based on such User Content, the Services may generate responses or outputs ("Outputs").

You are solely responsible for your User Content and your use of Outputs, including ensuring that both comply with this Agreement and applicable law and as laid out in 'Prohibited Conduct' in section 2.

You may elect certain privacy configurations, including zero data retention ("ZDR"), which limits retention and secondary use of User Content and Outputs beyond what is necessary to process a specific request. ZDR applies prospectively from the time it is enabled and does not apply retroactively.

Artificial Intelligence ("AI"), machine learning and deep learning are rapidly evolving fields of research. When using or accessing the Services, you need to be aware of the following:

  • You understand and acknowledge that you are interacting with one or more AI models;
  • AI models can hallucinate and may therefore result in errors.
  • Company is not responsible for any errors or unexpected results caused by AI.
  • You are responsible for independently reviewing all Output generated by AI;
  • You should exercise personal judgment before relying on Output;
  • You are fully responsible for monitoring and using or recommending the Output.
  • You assume responsibility for any decisions or actions based on Output.
  • You will not use the Output for any 'Prohibited Conduct' as in section 2.

The Company has implemented guardrails but does not undertake to monitor all user-provided inputs and expressly disclaims any obligation to do so. Notwithstanding the foregoing, the Company reserves the right, in its sole discretion, to:

  • Suspend or terminate access to the Services if User Input is reasonably believed to violate applicable law or these Terms;
  • Remove or restrict access to User Input where necessary to comply with law, enforce these Terms, or protect the rights of third parties; and
  • Cooperate with law enforcement authorities or comply with legal process requiring disclosure of user information.

4. Fees, Payment, Cancellation and Refund

Plans and Pricing

Yworq may offer one or more paid service plans, including one-time purchases and recurring subscriptions (each, a "Plan"). Features and functionality may vary by plan. Pricing will be presented as membership fee or top up credits and will be shown during checkout, and you agree to pay the amount displayed at the time of purchase, along with any applicable taxes. Taxes may vary based on your location. Unless otherwise stated, all prices are in U.S. Dollars.

Subscriptions

We may, at our discretion, modify, add, or remove features of any Plan. Continued use of the Services after changes take effect constitutes acceptance of those changes. If you do not agree with the changes, you may cancel your subscription. If you continue your subscription, the updated terms will apply to the current renewal and all future renewals.

Billing and Payment Authorization

Plans must be purchased using an available payment method at checkout, which may vary by location. You agree to provide accurate and complete billing information, including a valid payment method.

By providing your payment information, you authorize us to charge the applicable fees (including taxes and transaction fees) through our designated third-party payment processor ("Payment Processor") using your selected payment method at the time of purchase and, for subscriptions, on a recurring basis at each renewal until cancelled. We may also charge any other payment method associated with your account if necessary.

All payments are processed by our Payment Processor and may be subject to its terms and privacy policy.

If payment cannot be processed, we may suspend or downgrade your account until payment is received.

Auto-Renewal

Subscriptions automatically renew at our then-current rates unless cancelled before the renewal date. By subscribing, you authorize recurring charges through the Payment Processor until cancellation.

Cancellation

You may cancel your subscription at any time before the next renewal date through your account settings or by contacting digital@yworq.com. Cancellation applies to future charges only. You will retain access to the Services through the end of the current subscription period, unless otherwise specified. Upon cancellation, any unused credits or promotional benefits may be forfeited.

No Refunds

Except as required by law or expressly stated otherwise, payments are non-refundable. We do not provide refunds or credits for partial subscription periods or unused Services. We may issue refunds, credits, or discounts at our sole discretion, without obligation to do so in the future.

No Transfer or Resale

Subscriptions may not be transferred, sold, assigned, bartered, or traded. Any attempted transfer is void.

Pricing Changes

We may update pricing from time to time. If subscription fees increase, we will provide advance notice and the opportunity to cancel before new charges apply. We may not be able to provide advance notice of changes in applicable taxes.

Free Trials and Promotions

We may offer free trials or promotional pricing from time to time. Such offers are subject to specific eligibility requirements and any additional terms provided with the promotion.

Unless you cancel before the end of a promotional period, your subscription will automatically convert to a paid subscription at the then-current standard rate and will continue to renew automatically until cancelled. We may limit the availability, duration, or use of promotional offers and restrict combining multiple promotions.

5. Intellectual Property

The Company retains all right, title, and interest in and to the Site, Services, related software, documentation, usage analytics, and derivative works (collectively, "Company Technology"). No ownership rights are transferred to you.

As between the parties, you retain ownership of your User Content and Outputs. You grant the Company a limited license to host, process, and transmit User Content and Outputs solely as necessary to provide the Services.

Third-Party Models remain the property of their respective owners or open-source community.

We may collect anonymized and aggregated technical information regarding usage ("Usage Data") for service improvement and operational purposes. Usage Data does not include identifiable User Content.

Feedback you provide may be used by the Company without restriction.

6. Confidentiality

Unless otherwise agreed in writing, neither party undertakes confidentiality obligations under this Agreement.

7. Term and Termination

This Agreement begins on the Effective Date and continues until terminated.

The Company may suspend or terminate access if:

  • You breach this Agreement;
  • Continued access poses risk of harm or liability;
  • Required by law.

Certain provisions will survive termination, including those relating to intellectual property, payment, disclaimers, indemnification, and limitations of liability.

8. Warranties and Disclaimers

The Company warrants that the Services will materially conform to applicable documentation during the subscription term and that Professional Services will be performed in a professional manner.

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." THE COMPANY DISCLAIMS ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS.

9. Indemnification

You agree to defend, indemnify, and hold harmless yworq, its affiliates, and employees from any claims, liabilities, damages, costs, or expenses arising out of:

• Your use of the Services,

• Violation of these Terms, or

• Infringement of third-party rights.

10. Limitation of Liability

Except for indemnification obligations, gross negligence, willful misconduct, or intellectual property infringement, neither party will be liable for indirect, incidental, special, consequential, or punitive damages.

Total aggregate liability will not exceed amounts paid by you in the twelve (12) months preceding the claim.

11. Changes to Terms

yworq may update these Terms from time to time.
Material changes will be notified via email or through the platform.
Continued use of the Services after changes means you accept the updated Terms.

12. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of Virginia, USA.
Any disputes shall be resolved through binding arbitration or the courts located in Virginia, USA.
Users waive the right to participate in class actions or collective proceedings.
